The Ministry of Corporate Affairs (MCA) has initiated a probe into the activities of all multi-level marketing (MLM) companys registered abroad but with business operations in India.

A preliminary report on such MLM companies and others was given to the ministry by the Registrar of Companies (RoC), Delhi on Tuesday. The list includes Singapore-based SpeakAsia, though the company claimed it was not engaged in MLM activities.

The ministry has ordered a closer scrutiny into the affairs of six companies that were covered in the report. RoC is expected to give its second report on the firms soon.

Declining to provide details of the companies under scanner, a senior ministry official said MLM companies registered abroad will be scrutinised for possible violation of the provisions under section 591 of the Companies Act, 1956.

Section 591 prescribes a lengthy list of mandatory procedures that needs to be followed by the representatives and agents of companies that are registered outside the country, but with operations in India.

RoC will investigate if requisite documents have been submitted by the companies within a month of starting business operations in India. This includes certified copy of the charter, statues, memorandum and articles of the company. Address of the Indian offices, details of company directors, nature and details of the business are all required to be furnished to the RoC.

The inquiry against MLM firms was triggered after complaints were registered against SpeakAsia over its business practices. SpeakAsia, which charges an annual membership fee of Rs 11,000, pays back its members for conducting online surveys for their clients. The company had refused to disclose the names of the clients to whom it sells the survey results.

After controversy erupted in May this year about the company’s operations, an investors’ protection group filed a public interest litigation (PIL) before the Bombay High Court. The court issued summons to five top officials of SpeakAsia. The MCA probe was initiated in the backdrop of these allegations.

According to MCA officials, legal cases can be initiated against the agents or representatives of SpeakAsia and other MLM companies if instances of violations (of the Companies Act) are found by RoCs.

However, the company said its model was not properly understood by many and it was not a multi-level marketing company, but a precision marketing firm.

At a press conference, the company had said it will open a brand in Mumbai, the first outside Singapore and will apply to RoC, the Reserve Bank of India and the Foreign Investment Promotion Board.

What’s an MLM scheme? MLM, or multilevel marketing is polite parlance for pyramid schemes. Amway, Nikken magnet therapy, Vita-Life, Cutco, Monavie Acai juice, Primerica Insurance: whatever the product, MLM schemes operate not to sell product directly but to get sellers to “network” and get their acquaintances to sell for them (thus the pyramid configuration).

MLM marketing can’t be called networking. Networking means a level playing field and collaboration. MLM salespeople are encouraged to get people to sell “under” or “for” them. That’s where the multi-level comes in. MLM sales are exploitative, unethical and in some cases, illegal.

Why is summertime prime sales season? MLM schemes abound year-round. However some prey on college students. They use summer vacation to rope kids in with promises of big money. However, college students are prime targets for temporarily unemployed cheap labor.

I got my first college kid MLM call this weekend, for Cutco Knives (Vector Marketing). As is typical of an MLM sales call, it generally comes from someone you rarely see, barely know or haven’t heard from in years. Your real friends won’t try to sell you on a product. Friendships take time to grow and usually don’t thrive on shared business. In fact, the best way to lose a friend is to enter into a business partnership with him.

You’ll know it’s an MLM scam if they tell you that they have just discovered “the wonders of (insert product name)” and want to share this good news with you. They refer not to the product but the “way of life,” “concept” or “philosophy” of the company. Salespeople present the product as larger-than-life; an answer to all your prayers.

My 13-year-old said it sounded like the salesperson was going to tell us about Jesus. MLM schemes are a form of evangelism. Some companies prey on religious sensibilities; they call themselves Christian companies. The company becomes a cult and the salespeople, disciples.

MLMs differ from door-to-door sales. An MLM salesperson will try to set up an appointment at your home. They are told not to reveal the company that they work for until they have made contact with you (and gotten you enthusiastic about the concept). These companies operate on the worst forms of impulse and mass hysteria buying principles.

To get you excited about their product they use every psychological trick in the book. They make exaggerated promises about the product (vast earning potential, extensive health benefits). Some of the companies may make very good products; the issue isn’t with the product, it’s with the deceitful sales techniques.

There is debate over whether Primerica insurance, for example, is a scam. I’ve subscribed to Primerica because a family member sold it. It’s not a scam, but it is an MLM scheme. Amway’s cleaning products work well. Cutco makes a decent knife. VitaLIFE makes a quality vitamin. Acai juice does cleanse the liver. Will they revolutionize your life as promised? No. They may put you in the poor house.

These products claim to have exclusive technology. That’s also misinformation. You can usually find the equivalent at any local merchandiser. I found precisely the same vitamin at Meijer for $ 8 a bottle compared to Vita-Life’s $ 40 a month plan. My $ 15 IKEA knife can hold its weight against a Cutco any day. Stripped of its emotional appeal, you’re left with some very limited products: vitamins, cleaning products and knives.

Hai-O slides on weaker earnings MLM

KUALA LUMPUR: Hai-O Enterprise Bhd shares fell in early trade on Thursday, March 24 after its earnings fell 65% to RM6.34 million for the third quarter ended Jan 31, 2011 from RM18 million a year ago as revenue shrank following lower sales from its multi-level marketing (MLM) division.

At 9.10am, Hai-O fell nine sen to RM2.18 with 115,600 shares traded.

Hai-O’s revenue fell to RM57.60 million from RM131.28 million a year ago due mainly due the poorer performance of the MLM division, which is its principal subsidiary.

RHB Research in a note March 24 said it was cautious on Hai-O’s MLM division as the effect of the internal restructuring for the division due to the ammendment in the Direct Selling Act (DSA) may continue to impact its membership recruitment drive and slow the growth momentum of its membership base.

“In view of the current skittish and volatile market environment, we believe investors are looking for more earnings stability and reliable returns, which Hai-O would not be able to offer at this juncture, in our opinion.

“We are thus ceasing coverage on the stock, with our last recommendation being an Underperform with an unchanged fair value of RM1.35,” it said.

KUALA LUMPUR: Hai-O Enterprise Bhd’s earnings fell 65% to RM6.34 million for the third quarter ended Jan 31, 2011 from RM18 million a year ago as revenue shrank following lower sales from its multi-level marketing (MLM) division.

The company said on Wednesday, March 23 that revenue fell to RM57.60 million from RM131.28 million a year ago due mainly due the poorer performance of the MLM division, which is principal subsidiary. Earnings per share were 3.18 sen compared with 9.02 sen.

“However, the retail division had registered higher revenue, increase by about 37% and pre-tax profit increase by almost 85% due to strong festive sale during the Chinese Lunar New Year, as compared to last year, which fell in the fourth quarter of the last financial year.

“Whereas the higher external revenue generated from the wholesale division has been offset by the lower inter-segment sales from the MLM division, which had resulted in lower pre-tax profit,” it said.

For the nine-months period, net profit fell nearly 63% to RM21.20 million from Rm57.18 million while revenue declined 60% to RM165 million from RM412.22 million.

Hai-O said the higher revenue from the wholesale and retail divisions was offset by the larger drop in revenue from the MLM division.

These benefits are derived from elimination of gaps in the workflow — wasteful steps including looking for digital content, filling out forms, waiting for communication, being blindsided by problems, and not having a clear understanding of the impacts of changes in design, sourcing, production, or logistics on landed cost.

Question by Canga: How does mlm multilevel network marketing work and does it?
Hello was just curious about this subject mlm multilevel network marketing and whether or not it is a way to financial freedom as all or most of the copy I have seen for product is like wow and finally its like the dumps and a rip off. It seems if you are rich and have money to waste then maybe you’ll be successful if not then nope or so it seems?
